Article 1 - Customer account - Acceptance of these Terms

When registering on the Site or placing the first Order, the Customer declares that he/she is a professional. The Customer shall provide a valid postal and e-mail address; the Customer shall ensure that these are valid over time.
When registering on the Site, the Customer shall choose a personal identifier and password. After each use, the Customer must ensure that he leaves his account at the end of each session. The Customer is responsible for maintaining the confidentiality of his password and account, and is fully responsible for all acts involving the use of his login and password. In the event of loss or theft of the login and/or password, or in the event of use by an unauthorised third party, the Customer must immediately contact the Site.

By placing an Order, the Customer expressly accepts these General Terms and Conditions of Sale. These General Terms and Conditions may be adapted or modified at any time. Only the version of the Terms in force on the date of the Order shall have legal force between the parties.
Article 2 - Ordering Products - Prices

The prices of the Products are expressed in Euros excluding taxes for the European continent and the French DOM/TOM, unless there is a local Affiliate. For other destinations, it is necessary to contact INAN.
Prices do not include packaging, transport, customs and insurance costs, which are to be paid by the Customer.

Orders must be confirmed in writing, by means of an order form duly signed by the Customer. Sales are only valid after INAN has expressly accepted the Customer's Order in writing, and has verified the availability of the Products ordered.

For online Orders, the Client can check the Products in the Shopping Cart at any time, and add or remove Products. To validate the Products in the basket, the Customer must click on "validate". When the Order is validated, the Customer is then invited to pay on the dedicated payment platform (see provisions below). A confirmation e-mail is sent to the Customer.

For Account Customers, account management fees will be charged in accordance with the applicable scale.
Article 3 - Product availability

INAN will ship the Product(s) ordered within the limits of its available stock.
In the event that the Product ordered is unavailable, or in the event that the Customer does not accept the delivery date imposed by this unavailability, INAN will offer a replacement Product to the Customer, who is free to accept or refuse it. In the event of refusal, the sums already deducted for the unavailable Product(s) will be credited back to the debited account within thirty (30) calendar days.
Article 4 - Payment

For payments on the Site, the bank details communicated are neither known nor kept by INAN. If the electronic payment fails, the Products will not be delivered and the Order will be automatically cancelled.
Article 5 - Delivery

*Delivery costs are added to the amount of the Order according to the current tariff. Consult the delivery charges.

INAN delivers worldwide. Outside metropolitan France, the Customer must contact INAN. The Products are delivered to the delivery address mentioned in the Order.

*Unless otherwise specified by the Customer, the carriers selected by INAN will deliver the Products.

*In accordance with the provisions of Article L.133-3 of the French Commercial Code, even for international deliveries, any Product that has not been subject to reservations with the carrier by registered letter with acknowledgement of receipt (a copy of which will be sent simultaneously to INAN) within three (3) days of receipt, will be considered as definitively accepted by the Customer.

*Deliveries will be made in one go. If a product in the Order is not available, the Order will not be shipped until the stock of that product is available.

*Packaging, delivery and return costs shall be borne by the Customer in the event of refusal or non-delivery of the goods. In the event of an incorrect address or failure to be present at the time of delivery, the costs of a new delivery shall be borne by the Customer.

Returns of goods, if the customer is not satisfied, will only be accepted within a maximum period of fifteen (15) days. The products must be returned in their original packaging and in good condition. INAN reserves the right to refuse the return if it considers that the packaging or the goods are damaged.
No refund will be made. A credit note will be issued in the customer's name. This credit note will be valid for a maximum period of 2 months.
Article 6 - Retention of title - Transfer of risks

The transfer of ownership of INAN's products to the Customer will only take place after full payment of the price by the Customer, regardless of the date of delivery of the Products. On the other hand, the transfer of the risks of loss and deterioration of INAN's Products will be carried out upon delivery and receipt of said Products by the Customer. For international shipments, according to the Incoterms 2010 version of the FCA conditions, all risks are transferred to the Customer upon delivery of the Products to the carrier.
Article 7 - Warranty

*The Customer is solely responsible for the suitability of the Product(s) ordered for his/her needs. INAN will not accept any returns for this reason.

*Under the warranty for hidden defects and only for products entirely manufactured by INAN, INAN will only be required to replace the defective goods, without the Customer being able to claim damages, for any reason whatsoever. This warranty only applies to Products that contain a manufacturing defect that makes them unfit for their purpose and that cannot be detected by the Customer before use.

Where applicable, the defective parts shall be replaced, subject to verification of the alleged defects. The customer must provide any justification as to the reality of the defects found. INAN reserves the right to proceed, directly or indirectly, to any dispute and verification on site.

The Products are sold as is, without any guarantee of any kind. However, on certain duly identified Products, a manufacturer's warranty may be granted. In this case, all claims must be made directly to INAN under the conditions of article 7.5 "Return of delivery". The Customer must provide all justification as to the reality of the defects found. This warranty only applies to Products that contain a manufacturing defect that makes them unfit for use and that could not be detected by the Customer before use. The warranty is applicable only in continental France. Where applicable, the defective parts are replaced, subject to verification of the alleged defects. In any case, INAN shall not be held liable beyond the warranty granted by the manufacturer or assembler. INAN will not be responsible for the cost of returning products under warranty.
Article 8 - Liability

*The Site relies on technologies developed by third parties. INAN undertakes to use all necessary means to ensure continuous access to the Site. However, in order to ensure the technical maintenance of the Site, access may be interrupted from time to time. Insofar as possible, the Site will endeavour to inform the Clients of this. The Customer must ensure the compatibility of its computer equipment and software installed to access the Site.

INAN declines all responsibility for any damage that may result from the unavailability of the Site and/or a problem connecting to the Site.

*INAN is not responsible for any delay in the delivery of the goods. Such a delay does not allow the Customer to request the cancellation of the sale, to refuse the goods or to claim damages for any reason whatsoever.

INAN shall not be held responsible for the non-performance of the contract concluded in case of stock shortage or unavailability of the Product, whether in its own stocks, those of the supplier or the manufacturer.

INAN SHALL ONLY BE LIABLE IF IT IS ESTABLISHED THAT THE DAMAGE CLAIMED IS DUE TO ITS OWN FAULT AND IF THERE IS A DIRECT AND CERTAIN CAUSAL LINK BETWEEN THE ALLEGED FAULT AND THE DAMAGE.

In any event, INAN's liability shall not exceed thirty percent (30%) of the amount of the Order, all losses included.

*INAN shall not be liable for any damages incurred as a result of the use of any information provided by INAN to the Customer. INAN shall not be liable for the unavailability of the hotline or for any interruption of this service.

*INAN will not be liable for any loss or damage that may result from the loss or fraudulent use of the Customer's passwords, IDs or other personal information.

*Neither party shall be liable for any failure to perform its obligations in the event of circumstances that may be classified by the French courts as force majeure and in particular: strikes, terrorist acts, epidemics, wars, natural disasters and problems affecting suppliers, transport or production. In such circumstances, each party shall be entitled to an additional period of performance. If the event lasts for more than thirty (30) calendar days from the date of its occurrence, the sales contract may be terminated in writing by the more diligent party, without any right to compensation for anyone.

Article 9 - Statute of limitations

Any liability action against INAN shall be barred one year after the Order or after the occurrence of the harmful event that gives rise to the liability in the case of tort.
Article 10 - Data processing and liberties

In accordance with the French Data Protection Act No. 78-17 of 6 January 1978, as amended, personal data is subject to a declaration to the CNIL under the number 1554428.

All personal data concerning the Customer, a natural person, is collected directly on the Site and/or the Order form. The Customer has the right to oppose, access, rectify and delete any personal data concerning him/her, with the exception of IP addresses, in accordance with the regulations in force concerning the storage of such data. To exercise his rights, the Customer must simply send an e-mail to the Site at info@inanfr.com.

By registering, the Customer authorises the possible transfer of registration data to other French partners or partners domiciled in a member state of the European Union or any state recognised by the CNIL as having a policy of personal data protection.
Article 11 - Severability - Interpretation

INAN's failure to exercise, at any time, a right recognized by the Terms and Conditions shall not be construed as an express or implied waiver of the right to exercise such right in the future.

Furthermore, the recognition of the invalidity of a clause shall not affect the validity of the Conditions and of any other clause.

In the event of any inconsistency between any provision of these Terms and Conditions, the Legal Notice or any other statement on the Site, these Terms and Conditions shall prevail.
